These Terms of Use (“Terms”) govern your access to and use of this website and, if separately authorized, the limited research prototype and associated services made available for testing and evaluation of VictorMind and Victor Evidence (collectively, the “Research Prototype”). By accessing or using the website or Research Prototype, you agree to these Terms and to the Privacy Policy and Acceptable Use Policy. If you do not agree, do not use the website or Research Prototype.
1. Research and Evaluation Purpose
The Research Prototype is an experimental system under active development and is provided solely for research, testing, evaluation, demonstration, and feedback purposes. It is intended to facilitate evaluation of two distinct systems, VictorMind and Victor Evidence, within the current prototype environment. Features, behavior, architecture, evidence sources, outputs, interfaces, and availability may change without notice.
The Research Prototype may contain errors, omissions, incomplete or unavailable information, retrieval failures, unsupported outputs, software defects, interruptions, or other limitations. Access or participation does not mean that the Research Prototype has been clinically validated, certified, approved, cleared, or authorized for medical use by any governmental or regulatory authority.
2. No Medical Advice; No Clinical Use
The website and Research Prototype are not intended to provide medical advice or to diagnose, treat, cure, prevent, monitor, prescribe for, or manage any disease, condition, patient, or medical emergency. They are not a substitute for the independent professional judgment of a qualified healthcare professional.
Do not rely on any prototype output for patient-care decisions, diagnosis, treatment, prescribing, triage, emergency care, or other clinical decision-making. Any information or output that may appear medically relevant must be independently reviewed and verified using appropriate professional judgment and authoritative sources before any action is taken.
If you or another person may be experiencing a medical emergency, do not use the Research Prototype to determine what to do. Contact appropriate emergency services or a qualified healthcare professional.
3. No Performance, Accuracy, or Outcome Guarantee
No statement on the website or within the Research Prototype is a guarantee of accuracy, completeness, reliability, safety, clinical validity, evidence sufficiency, availability, performance, fitness for a particular purpose, or any particular result or outcome. Research findings, demonstrations, examples, test results, technical descriptions, publications, or prototype behavior should not be interpreted as guarantees of future performance or suitability for clinical use.
Unless expressly stated with appropriate supporting evidence, nothing on this website should be interpreted as a claim that VictorMind, Victor Evidence, or the Research Prototype is clinically validated, medically approved, superior to another system, error-free, or capable of producing clinically reliable outcomes.
4. Research Access and Approval
Public contact or a research inquiry does not create a right to access the Research Prototype. Access is limited and may be provided only to persons expressly approved for research testing and evaluation. Approval may be granted, denied, conditioned, limited, suspended, or withdrawn at any time, subject to applicable law.
Approved participants may receive separate registration, activation, authentication, research, security, or participation instructions. Access is limited to the scope expressly authorized.
5. Accounts, Authentication, and Security
Each account is for the authorized user only unless expressly stated otherwise in writing. You must provide accurate account information, protect your password, authentication credentials, activation links, authenticator secrets, one-time codes, and session access, and must not share, sell, transfer, or permit another person to use your account.
You must promptly report suspected credential compromise, unauthorized access, security vulnerabilities, or misuse. We may revoke sessions, disable accounts, require re-authentication, or suspend access when reasonably necessary to protect the Research Prototype, participants, data, intellectual property, or security.
6. Patient Information, PHI, and Sensitive Data
Do not submit patient-identifiable information, protected health information (“PHI”), medical records, confidential patient case details, or other regulated or sensitive personal information through public website forms or through any feature that has not been expressly authorized for that purpose.
Access to the Research Prototype does not by itself create a HIPAA-compliant environment, establish a business associate relationship, or authorize submission of PHI. Any use involving regulated or sensitive information requires an expressly authorized environment and any agreements, safeguards, permissions, approvals, and legal compliance applicable to that use.
7. Participant Responsibility
You are responsible for how you use and interpret information obtained through the website or Research Prototype. You must independently evaluate outputs and source materials and comply with applicable professional standards, institutional requirements, research protocols, ethical obligations, privacy requirements, and laws.
You must not represent prototype output as independently verified medical advice, clinical guidance, regulatory approval, or established scientific fact unless you have an independent and lawful basis for doing so.
8. Research Data and Feedback
During the current limited testing phase, interactions with the Research Prototype may be temporarily retained and inspected as reasonably necessary to verify that VictorMind and Victor Evidence are functioning, retrieving evidence, and displaying results as intended, and to investigate testing results or technical problems. This temporary testing is not intended to create patient records, patient profiles, a medical-information database, or a permanent repository of participant questions and responses. Testing interaction data is intended to be deleted when it is no longer needed for the applicable testing purpose, subject to separate retention of account, authentication, security, audit, legal, or administrative records where appropriate. The temporary research-data collection functionality may be disabled when the applicable testing and evaluation phase is completed.
Do not provide confidential, proprietary, patient-identifiable, PHI, medical-record, or other third-party information unless you are expressly authorized to disclose it and the Research Prototype has been expressly authorized to receive it. Any separate research consent or participation agreement applicable to a study remains independently applicable and is not replaced by these Terms.
9. VictorMind and Victor Evidence Intellectual Property
VictorMind and Victor Evidence are proprietary mathematical and engineered intelligence systems. Patent applications covering aspects of both systems are pending.
The website, Research Prototype, software, architecture, theories, equations, methods, evidence-control processes, documentation, interfaces, designs, text, graphics, and other materials may be protected by patent, copyright, trade secret, trademark, contractual, or other intellectual-property rights.
Except for the limited right to use the website or Research Prototype within the expressly authorized evaluation scope, no ownership, patent license, copyright license, trade-secret right, or other intellectual-property right is granted by access.
To the extent permitted by applicable law, you may not copy, reproduce, scrape, extract, reverse engineer, decompile, disassemble, derive, reconstruct, disclose, publish, sublicense, commercialize, circumvent protections for, or create competing implementations from protected non-public technology, except where expressly authorized in writing or where applicable law gives you a right that cannot lawfully be restricted.
10. Confidential and Non-Public Materials
Access to non-public research materials, prototype functionality, activation information, internal documentation, or other restricted information does not make that information public. Where materials are identified as confidential or their confidential nature is reasonably apparent, you must not disclose or use them outside the authorized evaluation purpose, subject to any separate written agreement and applicable law.
11. System Architecture Statement
Public descriptions of VictorMind, Victor Evidence, language-model components, retrieval, evidence handling, or other system architecture are provided for informational and research-context purposes. Such descriptions do not constitute a warranty or guarantee of performance. Public descriptions also do not grant permission to access or reconstruct protected implementation details.
12. Acceptable Use and Prohibited Conduct
You must comply with the Acceptable Use Policy. Without limiting that policy, you must not:
- attempt unauthorized access to accounts, systems, data, administrative functions, or infrastructure;
- share credentials or bypass authentication, access controls, rate limits, or security measures;
- interfere with, disrupt, overload, damage, probe, or exploit the website or Research Prototype;
- use the Research Prototype for unauthorized clinical care, emergency decision-making, unlawful activity, or activity outside the approved research scope;
- introduce malware or attempt to obtain another participant's information or working context;
- misrepresent your identity, authorization, affiliation, research status, or prototype results;
- use protected non-public technology in violation of intellectual-property rights, confidentiality obligations, or applicable law.
13. Third-Party Information, Sources, Models, and Services
The Research Prototype may retrieve, process, reference, or communicate information originating from third-party medical, scientific, technical, or other sources and may use third-party infrastructure, software, models, or services. Third-party information and services remain subject to their own limitations, availability, rights, and policies.
We do not warrant that third-party information is complete, current, error-free, or suitable for a particular use. Where a source is material to a research conclusion, users should inspect and evaluate the source directly.
14. Availability, Modification, and Experimental Features
The website and Research Prototype may be modified, updated, restricted, suspended, interrupted, or discontinued. Features, evidence sources, access limits, research conditions, interfaces, and experimental functionality may change. No uninterrupted, error-free, or continued availability is promised.
15. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND RESEARCH PROTOTYPE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS NOT EXPRESSLY SET OUT IN THESE TERMS ARE DISCLAIMED, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.
Nothing in these Terms excludes or limits a warranty, right, remedy, or obligation that cannot lawfully be excluded or limited.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE OPERATOR OF THE WEBSITE AND RESEARCH PROTOTYPE, AND ITS AFFILIATES, CONTRIBUTORS, CONTRACTORS, SERVICE PROVIDERS, AND REPRESENTATIVES, WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF DATA, REVENUE, PROFITS, BUSINESS OPPORTUNITY, GOODWILL, OR USE, ARISING OUT OF OR RELATING TO ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE WEBSITE OR RESEARCH PROTOTYPE.
To the maximum extent permitted by applicable law, no person should rely on the Research Prototype for clinical or patient-care decisions, and the operator disclaims liability arising from use of the Research Prototype outside its expressly stated research and evaluation purpose.
Nothing in these Terms excludes, restricts, or limits liability to the extent such liability cannot lawfully be excluded, restricted, or limited. The enforceability and scope of limitations of liability vary by jurisdiction.
17. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the operator of the website and Research Prototype and its affiliates, contributors, contractors, service providers, and representatives from third-party claims, damages, losses, liabilities, costs, and reasonable legal expenses arising from your unlawful use, your material violation of these Terms or the Acceptable Use Policy, your unauthorized disclosure or submission of data, your infringement or misappropriation of another person's rights, or your use of the Research Prototype outside the scope expressly authorized for you.
This section does not require indemnification to the extent prohibited by applicable law and does not alter liability that cannot lawfully be waived or shifted.
18. Suspension and Termination
Access may be restricted, suspended, or terminated for security concerns, suspected compromise, policy violations, misuse, legal or regulatory risk, patient-safety concerns, unauthorized clinical use, intellectual-property concerns, failure to comply with research conditions, or use outside the approved evaluation scope.
Provisions that by their nature should survive termination—including provisions concerning intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, and accrued obligations—survive to the extent permitted by applicable law.
19. No Professional, Fiduciary, or Provider-Patient Relationship
Use of the website or Research Prototype does not create a physician-patient, healthcare-provider-patient, attorney-client, fiduciary, employment, partnership, agency, or other professional relationship with the operator merely by reason of access or use.
20. No Regulatory Representation
Unless expressly stated in a separate written notice supported by the applicable regulatory status, no statement on the website or Research Prototype should be interpreted as representing that VictorMind, Victor Evidence, or the Research Prototype has been approved, cleared, authorized, certified, or endorsed by the U.S. Food and Drug Administration or any other governmental, regulatory, professional, or standards organization.
21. Compliance With Law
You are responsible for using the website and Research Prototype only in compliance with laws and regulations applicable to you, your profession, your institution, your research activities, your location, and the information you submit or use.
22. Changes to These Terms
These Terms may be revised as the research program, website, or Research Prototype evolves. The effective date will be updated when the Terms are revised. Where required by applicable law or an applicable agreement, material changes will be communicated or additional consent will be obtained.
23. Severability and No Waiver
If a provision of these Terms is determined to be unlawful or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where appropriate, without affecting the remaining provisions. Failure to enforce a provision on one occasion does not waive the right to enforce it later.
24. Entire Terms and Separate Agreements
These Terms, together with the incorporated Privacy Policy and Acceptable Use Policy, govern ordinary use of the website and Research Prototype. A separate written research consent, confidentiality agreement, institutional agreement, data-use agreement, or other agreement may impose additional or different requirements. Where a separately executed agreement expressly controls a particular subject, that agreement governs that subject to the extent of the stated conflict.
25. Governing Law and Dispute Terms
No governing-law, venue, arbitration, class-action-waiver, or jurisdiction provision is stated here because those provisions should identify the actual legal operator and applicable jurisdiction and should be selected with qualified legal counsel. They should not be added by assumption. Until properly established, nothing in these Terms should be interpreted as creating a choice-of-law or dispute-resolution provision that has not actually been adopted.
